CuteMesh.com Vendor Agreement

This Vendor Agreement (“Agreement”) is entered into by and between CuteMesh.com (“Platform”, “we”, “our”, or “us”) and you, the vendor or service provider (“you”, “your”, or “Vendor”), for the purpose of governing your use of our multi-vendor platform.

CuteMesh.com provides a centralized platform for vendors to list and offer various goods and services across multiple modules, including Marketplace (fixed-price products), Auctions, Freelance/Services, Job Listings, Event Listings, Rentals, and Grocery Sales.

By registering as a vendor or accessing your seller dashboard, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, along with our Terms of Use, Privacy Policy, and Acceptable Use Policy.

1. Definitions

• Platform: The CuteMesh.com website and related services where users can buy, sell, list, and trade.
  
• Vendor: A registered seller, freelancer, or business entity listing products, services, or offerings on the platform.
  
• Customer: A user purchasing or engaging with a product, service, event, job post, or rental on the platform.
  
• Modules: The different service areas within CuteMesh.com, including Marketplace, Auctions, Freelance Services, Job Listings, Event Listings, Rentals, and Grocery Sales. 

2. Vendor Eligibility

You must:

• Be at least 18 years of age
  
• Be legally able to operate a business or offer services in Ghana
  
• Complete the KYC verification process as outlined in our KYC Policy 
• Comply with all applicable laws and platform-specific policies 

3. Scope of Vendor Participation

You may engage with one or more of the following trading modules, as applicable to your offerings:

3.1 Marketplace (Fixed-Price Products)

You may list physical or digital goods for direct sale. You must:

• Accurately describe all product details
  
• Ensure timely and complete order fulfillment
  
• Handle shipping, packaging, and tracking (if applicable)
  
• Clearly state return/refund terms in your shop policies 

3.2 Auctions

You may list items under auction terms. You must:

• Set clear start and end dates/times
  
• Honor the final winning bid
  
• Fulfill delivery/pickup in a timely and professional manner
  
• Avoid any bid manipulation or shill bidding 

3.3 Services / Freelance

You may list skills or services for hire (e.g., tailoring, graphics, programming). You must:

• Define deliverables, timelines, and pricing clearly
  
• Maintain communication with clients throughout the project
  
• Deliver work as promised and handle revisions fairly 

3.4 Job Listings

You may post job vacancies. Listings must:

• Be accurate and comply with labor laws
  
• Avoid discrimination, misleading terms, or fake jobs
  
• Clearly state compensation, role, and qualifications 

3.5 Event Listings

You may promote and sell tickets for online or physical events. You must:

• Include date, location, price, and ticket terms
  
• Ensure prompt delivery of e-tickets or confirmation
  
• Be responsible for cancellation and refund management 

3.6 Rentals

You may offer items, garments, tools, or property for rent. You must:

• Specify rental duration, fees, security deposits, and late penalties
  
• Inspect and maintain items before and after use
  
• Handle loss or damage issues directly with the renter 

3.7 Grocery Sales 

You may sell fresh or packaged foods. You must:

• Comply with local food safety and health regulations
  
• Clearly state expiration dates and ingredients
  
• Use proper packaging for freshness and safety
  
• Manage same-day or timely delivery (where applicable) 

4. General Vendor Obligations

All vendors agree to:

• Maintain accurate shop and product information at all times
  
• Fulfill orders or obligations in a timely and professional manner
  
• Avoid intellectual property infringement or counterfeit items
  
• Respond to customer queries within 24–48 hours
  
• Resolve disputes in good faith
  
• Follow CuteMesh.com’s Acceptable Use Policy 

You are solely responsible for compliance with your local tax laws, product certifications, professional licensing, and any legal obligations arising from your operations.

5. Fees, Commissions & Payment

5.1 Listing and Transaction Fees

• CuteMesh.com may charge a listing fee, subscription fee, and/or a commission based on the sale, rental, or service value.
  
• Specific fees per module will be disclosed in the Fee Schedule. 

5.2 Payment and Payouts

• Payments are collected by CuteMesh.com and disbursed to vendors based on successful completion or delivery of service.
  
• Payouts are subject to: 
  • Verified KYC
    
  • Completed orders or deliveries
    
  • Applicable holding periods
    
  • Deduction of platform fees 
• Vendors must provide valid and current payment details (bank or mobile wallet). 

6. Content and Intellectual Property

You must only upload content (images, product names, videos, etc.) that you have the rights to use. By uploading content, you grant CuteMesh.com a royalty-free license to display, promote, and distribute your content on the platform for marketing and transactional purposes.

You may not use trademarks, copyrighted materials, or proprietary content that you do not own or are not authorized to use.

7. Reviews and Feedback

• CuteMesh.com allows users to leave public reviews.
  
• You may not manipulate or falsify reviews (e.g., self-reviewing, bribing customers).
  
• Vendors may respond professionally to feedback, but may not threaten or harass customers for negative reviews. 

8. Dispute Resolution

In the event of customer complaints, CuteMesh.com may:

• Investigate claims with input from both parties
  
• Issue partial or full refunds
  
• Impose penalties or remove listings 

CuteMesh.com’s decision is final in platform-mediated resolutions but does not restrict your right to seek legal action outside the platform.

9. Suspension or Termination

CuteMesh.com may suspend or terminate a vendor account without prior notice if:

• You breach any term of this Agreement or platform policies
  
• You engage in fraudulent or harmful behavior
  
• You fail to fulfill orders, violate user trust, or receive excessive complaints 

You may also voluntarily terminate your account through your dashboard, provided all pending orders are fulfilled or cancelled appropriately.

10. Confidentiality & Data Protection

You agree to:

• Keep buyer information confidential and only use it for order fulfillment
  
• Protect your login credentials and vendor account
  
• Not share customer data with third parties or use it for unsolicited communications 

CuteMesh.com adheres to Privacy Policy and relevant data protection laws.

11. Indemnity & Limitation of Liability

You agree to indemnify and hold CuteMesh.com harmless from any claims, losses, or damages (including legal fees) arising out of:

• Your use of the platform
  
• Your breach of this Agreement
  
• Your products, services, or actions as a vendor 

CuteMesh.com is not liable for:

• Product defects, service failures, or disputes with buyers
  
• Financial loss due to customer behavior
  
• Damages exceeding the fees you have paid to us in the past 6 months 

12. Amendments

We may revise this Agreement at any time. Notice will be provided via email or dashboard notification. Continued use of the platform after changes are posted constitutes your acceptance.

13. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the Republic of Ghana. Any legal disputes shall be resolved in the courts of the Republic of Ghana, unless otherwise agreed in writing.
